Public Agreement for the Provision of Dental Services (Public Offer Agreement)

Preamble
Dear Patient, this document is an official public offer made by Private Enterprise “Stomatolohichna Klinika Klub 32” (hereinafter referred to as the “Clinic” or the “Provider”) to enter into an agreement for the provision of dental services.
We strive for transparent and fair relations, so we have set out here all the basic rules of our cooperation. By applying to us for services, you accept the terms of this Agreement and confirm your consent to them.
1. General Provisions
1.1. Status of the Agreement. This Agreement, in accordance with Articles 633 and 641 of the Civil Code of Ukraine, is a public agreement. Its terms are the same for all patients.
1.2. Acceptance of the Agreement. This Agreement shall be deemed concluded, and its terms fully accepted by the Patient, from the moment of performing any of the following actions:
* The first request to the Clinic for services;
* Completion and signing of the “Primary Patient Consent Questionnaire”;
* Signing of the Treatment Plan;
* Payment for the Clinic’s services;
* The actual commencement of receiving services.
1.3. System of Documents. The following documents are integral parts of this Agreement and regulate the relations between the Clinic and the Patient:
* The “Warranty Obligations Policy”;
* The “Patient Stay and Service Rules”;
* The “Primary Patient Consent Questionnaire”;
* Individually agreed Treatment Plans and Informed Consents for medical interventions.
The Patient confirms that they have reviewed and agreed to these documents at the moment of accepting this Agreement.
1.4. Publication and Amendments. The current version of the Agreement and related documents is always available in the Consumer Information Corner at the Clinic’s premises and on the official website www.club32.ua. The Clinic has the right to amend this Agreement by publishing a new version. The paper version posted in the Consumer Information Corner shall prevail.
2. Subject Matter of the Agreement
2.1. The Clinic undertakes to provide the Patient with quality dental services (hereinafter referred to as the “Services”) in accordance with medical indications and the agreed Treatment Plan, and the Patient undertakes to accept and pay for such Services under the terms of this Agreement.
2.2. The Services are provided by qualified medical professionals of the Clinic in accordance with the Ministry of Health of Ukraine license No. 281604, series AE, dated October 31, 2013.
3. Planning and Provision of Services
3.1. Diagnostics and Treatment Plan. The provision of Services begins with an initial consultation and diagnostics, based on which the doctor prepares an individual Treatment Plan. The Treatment Plan includes a recommended list of interventions, their estimated cost, and timelines. Treatment begins after the Patient signs the Treatment Plan.
3.2. Appointment Procedure. The Services are provided by prior appointment. The Clinic and the Patient agree on the date and time of each visit.
3.3. Appointment Cancellation Policy.
The procedure for cancellation and rescheduling of visits is governed by the “Patient Stay and Service Rules”. The Clinic reserves the right to apply a deposit policy for scheduling a subsequent visit in the event of repeated no-shows or appointment cancellations in violation of the established notice periods.
3.4. Informed Consents.
No medical intervention shall be carried out without the Patient’s prior informed consent executed in accordance with the requirements of applicable law.
4. Cost of Services and Payment Procedure
4.1. The cost of the Services is determined by the Clinic’s current price list. The estimated cost is recorded in the Treatment Plan.
4.2. If there is a need for additional procedures not included in the initial Treatment Plan, their cost and necessity shall be additionally agreed with the Patient.
4.3. Payment shall be made by the Patient on the day the service is provided, unless another procedure, such as staged payment or prepayment for prosthetic structures, has been agreed individually.
4.4. The Patient has no right to refuse payment for actually provided and agreed Services of proper quality.
5. Rights and Obligations of the Parties
5.1. The Patient has the right to:
* Receive quality and safe dental services;
* Obtain complete and accurate information about their health condition, the treatment plan, methods, risks, and cost of treatment;
* Choose a treating doctor where possible;
* Confidentiality of information about their health condition.
5.2. The Patient is obliged to:
* Provide complete and accurate information about their health condition in the “Consent Questionnaire”;
* Comply with all recommendations and prescriptions of the doctor;
* Appear for scheduled visits in a timely manner and comply with the “Patient Stay and Service Rules”;
* Pay for the provided Services in full and on time.
5.3. The Clinic has the right to:
* Refuse to provide services, except in emergencies, in the event of the Patient’s violation of this Agreement, the “Patient Stay Rules,” being under the influence of alcohol or drugs, or providing false information about their health condition;
* Adjust the Treatment Plan for medical reasons, subject to prior agreement with the Patient;
* Сarry out photo and video recording of treatment stages as part of medical documentation for quality control purposes, for which the Patient gives consent in the “Consent Questionnaire.”
5.4. The Clinic is obliged to:
* Provide the Services in accordance with current standards and protocols;
* Ensure confidentiality of the Patient’s personal and medical data;
* Inform the Patient about all aspects of treatment.
6. Warranty Obligations
6.1. The Clinic confirms the quality of the provided Services by offering voluntary warranty obligations.
6.2. The terms, duration, scope, and procedure for providing the warranty are governed exclusively by a separate document, the “Warranty Obligations Policy”, which is an integral part of this Agreement.
7. Liability of the Parties
7.1. For non-performance or improper performance of the terms of this Agreement, the Parties shall bear liability in accordance with the applicable legislation of Ukraine.
7.2. The Clinic shall not be liable for the outcome of treatment or possible complications in the following cases:
* Failure of the Patient to follow the doctor’s recommendations;
* Provision by the Patient of false information about their health condition;
* Occurrence of allergic reactions or individual intolerance to materials that could not have been predicted;
* Development of complications due to the biological characteristics of the Patient’s body, provided that the service was rendered in compliance with all medical protocols.
7.3. The Patient understands that dentistry, like any other field of medicine, cannot guarantee a 100% result, since it depends on the individual reactions of the body. The Clinic, for its part, guarantees compliance with all standards and protocols in order to achieve the best possible result.
8. Confidentiality and Personal Data
8.1. By entering into this Agreement, the Patient gives consent to the collection and processing of their personal and medical data for the purpose of providing the Services, maintaining medical documentation, and communication. Detailed conditions for granting such consent are set out in the “Primary Patient Consent Questionnaire.”
9. Term of the Agreement and Dispute Resolution Procedure
9.1. This Agreement shall remain in force indefinitely from the moment it is accepted by the Patient.
9.2. All disputes shall be resolved through negotiations. If no agreement is reached, disputes shall be resolved in court in accordance with the legislation of Ukraine.

3.2. Appointment Procedure. The Services are provided by prior appointment. The Clinic and the Patient agree on the date and time of each visit.
3.3. Appointment Cancellation Policy.
The procedure for cancellation and rescheduling of visits is governed by the “Patient Stay and Service Rules”. The Clinic reserves the right to apply a deposit policy for scheduling a subsequent visit in the event of repeated no-shows or appointment cancellations in violation of the established notice periods.
3.4. Informed Consents.
No medical intervention shall be carried out without the Patient’s prior informed consent executed in accordance with the requirements of applicable law.
4. Cost of Services and Payment Procedure
4.1. The cost of the Services is determined by the Clinic’s current price list. The estimated cost is recorded in the Treatment Plan.
4.2. If there is a need for additional procedures not included in the initial Treatment Plan, their cost and necessity shall be additionally agreed with the Patient.
4.3. Payment shall be made by the Patient on the day the service is provided, unless another procedure, such as staged payment or prepayment for prosthetic structures, has been agreed individually.
4.4. The Patient has no right to refuse payment for actually provided and agreed Services of proper quality.
5. Rights and Obligations of the Parties
5.1. The Patient has the right to:
* Receive quality and safe dental services;
* Obtain complete and accurate information about their health condition, the treatment plan, methods, risks, and cost of treatment;
* Choose a treating doctor where possible;
* Confidentiality of information about their health condition.
5.2. The Patient is obliged to:
* Provide complete and accurate information about their health condition in the “Consent Questionnaire”;

* Pay for the provided Services in full and on time.
5.3. The Clinic has the right to:
* Refuse to provide services, except in emergencies, in the event of the Patient’s violation of this Agreement, the “Patient Stay Rules,” being under the influence of alcohol or drugs, or providing false information about their health condition;
* Adjust the Treatment Plan for medical reasons, subject to prior agreement with the Patient;
* Сarry out photo and video recording of treatment stages as part of medical documentation for quality control purposes, for which the Patient gives consent in the “Consent Questionnaire.”
5.4. The Clinic is obliged to:
* Provide the Services in accordance with current standards and protocols;
* Ensure confidentiality of the Patient’s personal and medical data;
* Inform the Patient about all aspects of treatment.
6. Warranty Obligations
6.1. The Clinic confirms the quality of the provided Services by offering voluntary warranty obligations.

* Development of complications due to the biological characteristics of the Patient’s body, provided that the service was rendered in compliance with all medical protocols.
7.3. The Patient understands that dentistry, like any other field of medicine, cannot guarantee a 100% result, since it depends on the individual reactions of the body. The Clinic, for its part, guarantees compliance with all standards and protocols in order to achieve the best possible result.
8. Confidentiality and Personal Data

By entering into this Agreement, the Patient gives consent to the collection and processing of their personal and medical data for the purpose of providing the Services, maintaining medical documentation, and communication. Detailed conditions for granting such consent are set out in the “Primary Patient Consent Questionnaire.”
9. Term of the Agreement and Dispute Resolution Procedure
9.1. This Agreement shall remain in force indefinitely from the moment it is accepted by the Patient.
9.2. All disputes shall be resolved through negotiations. If no agreement is reached, disputes shall be resolved in court in accordance with the legislation of Ukraine.
